Welcome to Spinacho, a brand owned and operated by Nutriwave Spinacho Foods Private Limited ("Spinacho", "Company", "we", "our", or "us"). These Terms & Conditions ("Terms") govern your access to and use of the Spinacho Platform, including the website, mobile application, and any other digital services operated by the Company (collectively, the "Platform"). By accessing, registering, browsing, or placing an Order through the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all other policies published on the Platform. If you do not agree to these Terms, you must discontinue using the Platform.

For the purpose of these Terms:

• Applicable Law means all applicable laws, rules, regulations, notifications, guidelines, and government directives in force in India.
• Company means Nutriwave Spinacho Foods Private Limited.
• Customer means any individual or entity accessing or using the Platform to browse, place Orders, or otherwise use the Services.
• Content means all text, images, graphics, logos, trademarks, menus, product descriptions, videos, software, and other material available on the Platform.
• Order means a request placed by a Customer through the Platform to purchase food, beverages, or related products from a Restaurant Partner.
• Platform means the Spinacho website, mobile application, and any other digital services operated by the Company.
• Restaurant Partner means an independent food business listed on the Platform that prepares and sells food or beverages.
• Services means the digital services provided by Spinacho through the Platform.
• User means any person accessing or using the Platform, including Customers, Restaurant Partners, visitors, or any other authorised users.

Spinacho is an FSSAI Licensed e-Commerce Food Business Operator that operates a curated digital marketplace connecting Customers with independent Restaurant Partners. Unless expressly stated otherwise:

• Spinacho does not manufacture food.
• Spinacho does not prepare food.
• Spinacho does not own or operate Restaurant Partners.
• Food preparation, ingredients, packaging, and hygiene remain the responsibility of the respective Restaurant Partner.

Spinacho provides technology and operational services to facilitate ordering and related services through the Platform.

By using the Platform, you represent and warrant that:

• You are legally competent to enter into binding contracts under Applicable Law;
• You are at least 18 years of age;
• You are not barred from using the Platform under Applicable Law; and
• All information provided during registration or use is truthful and accurate.

To access certain features, Users may be required to register an account. Users agree to:

• Provide accurate and complete information;
• Maintain the confidentiality of login credentials;
• Accept responsibility for all activity under their account; and
• Notify Spinacho immediately of any unauthorised use.

Spinacho shall not be liable for any loss arising from unauthorised use of an account.

An Order placed through the Platform constitutes an offer to purchase food products and is subject to acceptance by the relevant Restaurant Partner. An Order shall be considered confirmed only after acceptance by the Restaurant Partner and confirmation through the Platform.

Spinacho reserves the right to refuse, cancel, or restrict Orders where reasonably necessary, including cases involving:

• Suspected fraud;
• Incorrect pricing;
• Technical errors;
• Legal or regulatory requirements; or
• Operational limitations.

Prices displayed on the Platform are determined by the respective Restaurant Partners unless otherwise indicated. Applicable charges may include:

• Product Price;
• Delivery Charges;
• Packaging Charges;
• Platform Fees; and
• Taxes.

The final amount payable will be displayed before Order confirmation. Payments are processed through authorised third-party payment service providers.

Users agree to use the Platform responsibly and shall not:

• Provide false or misleading information;
• Misuse or interfere with the Platform;
• Attempt unauthorised access to any system or account;
• Upload unlawful, defamatory, abusive, or offensive content;
• Engage in fraudulent or deceptive activities;
• Violate intellectual property rights;
• Use automated tools or bots without written permission; or
• Violate Applicable Law.

Restaurant Partners are responsible for ensuring the accuracy of information published on the Platform, including:

• Menu descriptions;
• Pricing;
• Ingredients;
• Dietary classifications;
• Allergen disclosures; and
• Availability.

While Spinacho may review information before publication, it cannot guarantee that all information will always remain complete or error-free.

All intellectual property rights relating to the Platform, including but not limited to: Spinacho name; logos; trademarks; software; website design; application interface; graphics; photographs; text; Content; are owned by or licensed to Nutriwave Spinacho Foods Private Limited. No Content may be copied, reproduced, modified, distributed, published, reverse engineered, or commercially exploited without prior written consent.

Users may submit ratings, reviews, or other content through the Platform. By submitting such content, you grant Spinacho a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, publish, and distribute that content in connection with operating and promoting the Platform. Spinacho reserves the right to remove any content that violates these Terms or Applicable Law.

Spinacho makes reasonable efforts to ensure continuous availability of the Platform. However, access may occasionally be interrupted due to: maintenance; upgrades; technical failures; internet disruptions; or events beyond our reasonable control. Spinacho does not guarantee uninterrupted or error-free operation.

The Platform may integrate with third-party service providers including payment processors, delivery providers, analytics providers, and communication services. Spinacho is not responsible for the products, services, availability, or privacy practices of such third parties.

The Platform and Services are provided on an "as available" and "as is" basis. To the fullest extent permitted by Applicable Law, Spinacho makes no warranties regarding: uninterrupted access; continuous availability; compatibility with every device; error-free operation; or accuracy of third-party information. Nothing in these Terms excludes rights that cannot legally be excluded.

To the maximum extent permitted by Applicable Law, Nutriwave Spinacho Foods Private Limited shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Platform. Nothing in these Terms limits liability where such limitation is prohibited by law.

Spinacho may suspend or terminate access to the Platform without prior notice where it reasonably believes that a User has: violated these Terms; engaged in fraudulent conduct; abused the Platform; violated Applicable Law; or compromised the security or integrity of the Platform. Termination shall not affect rights or obligations that accrued prior to termination.

By accessing, registering, placing an Order, or otherwise using the Platform, you acknowledge that your electronic acceptance of these Terms constitutes a legally binding agreement between you and Nutriwave Spinacho Foods Private Limited.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, Food Safety & Quality Policy, Cookie Policy, Grievance Redressal Policy, and any other policies published on the Platform, constitute the entire agreement between you and Spinacho regarding your use of the Platform.

These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to Applicable Law, the courts having jurisdiction over the registered office of Nutriwave Spinacho Foods Private Limited shall have exclusive jurisdiction over disputes arising from or relating to these Terms.

Spinacho may revise these Terms from time to time. Updated versions will be published on the Platform together with the revised "Last Updated" date. Continued use of the Platform after publication constitutes acceptance of the revised Terms.
